Notice: These Terms of Service govern your use of the LYONYX website located at lyonyx.net and all services provided by LYONYX LLC. By submitting a contact form, enrolling in a free trial, or engaging LYONYX for any paid service, you agree to these Terms.
1. About LYONYX LLC
LYONYX LLC ("LYONYX," "we," "us," or "our") is a digital marketing agency based in Brazil, Indiana that provides AI-integrated website systems, lead automation, SMS and email marketing infrastructure, CRM configuration, and related digital services to local service businesses across the United States. Our core product is the Smart Site — an AI-powered sales platform that combines a professional website, AI chat, voice AI, automated follow-up sequences, and CRM pipeline management into a unified system.
2. Services Provided
LYONYX provides the following categories of services:
Smart Site system — AI chat widget, voice AI missed call handling, real-time lead alerts, automated SMS and email follow-up sequences, CRM pipeline setup and management.
Website design and development — professional websites and landing pages built for local service businesses using GoHighLevel (GHL) or other platforms as specified in individual service agreements.
SMS and email marketing automation — follow-up sequences, database reactivation campaigns, and triggered communication workflows operating under A2P 10DLC compliance standards.
Google Business Profile optimization — setup, verification support, and ongoing profile management.
Free trial program — a 14-day no-cost trial of the Smart Site system governed by a separate Trial Agreement signed at enrollment.
Add-on services — Google Ads management, Facebook Ads management, SEO content, review management, and AI voice receptionist services as specified per client agreement.
The specific services delivered to each client are defined in the individual service agreement executed at onboarding. These Terms govern all services unless superseded by a written service agreement signed by both parties.
3. SMS Communications and A2P 10DLC Compliance
A2P Notice: LYONYX operates SMS communications through registered A2P 10DLC campaigns. All SMS messaging conducted through our systems must comply with CTIA guidelines, TCR registration requirements, and applicable federal and state law including the TCPA.
3.1 — Client SMS Communications
When LYONYX configures SMS automation for a client, all outbound SMS messages are sent on behalf of that client's registered business through their dedicated GHL sub-account and assigned phone number. The client is the message sender of record. LYONYX is the technology provider configuring the delivery infrastructure.
3.2 — Consent Requirements
All SMS communications configured and deployed through LYONYX systems must be sent only to recipients who have provided explicit prior written consent to receive text messages from the client's business. Client agrees that it is solely responsible for:
Obtaining lawful prior express written consent from all contacts before sending any SMS messages through the LYONYX system.
Maintaining records of consent for all contacts in their database.
Ensuring all contact lists used for SMS campaigns comply with applicable TCPA and state telemarketing laws.
Honoring opt-out requests immediately — any contact who replies STOP, UNSUBSCRIBE, CANCEL, END, or QUIT must be removed from all future SMS communications without delay.
Not uploading purchased, scraped, or otherwise non-consented contact lists into the LYONYX system for SMS outreach.
3.3 — Required SMS Disclosures
All SMS opt-in pathways configured through LYONYX systems must include the following disclosures at the point of consent:
The name of the business sending messages.
The nature and frequency of messages (e.g., "You will receive appointment reminders and follow-up messages from [Business Name].").
"Message and data rates may apply."
"Reply STOP to unsubscribe. Reply HELP for help."
A link to the business's Privacy Policy.
3.4 — Prohibited SMS Uses
Client agrees not to use LYONYX SMS infrastructure to send:
Unsolicited commercial messages to contacts who have not provided consent.
Phishing, fraudulent, or deceptive content.
Content related to cannabis, firearms, gambling, adult content, or other SHAFT-restricted categories without proper carrier approval.
Messages containing profanity, harassment, or threatening language.
Political campaign messaging without proper registration.
LYONYX reserves the right to immediately suspend SMS services for any client found to be in violation of these requirements or carrier guidelines, without refund of fees paid.
3.5 — Automated Messages Disclosure
The Smart Site system sends automated text messages including but not limited to: missed call text-back responses, lead follow-up sequences, appointment reminders, and review requests. All contacts who receive automated messages through the system must have opted in to receive communications from the client business. Automated messages will always include opt-out instructions.
4. Free Trial Terms
LYONYX offers a 14-day free trial of the Smart Site system. The trial is governed by a separate Trial Agreement signed prior to setup. Key terms include:
No payment or credit card is required to begin the trial.
The trial runs for 14 consecutive calendar days from the system go-live date.
LYONYX retains all intellectual property rights to workflows, templates, and system configurations deployed during the trial.
If the client does not convert to a paid plan, the sub-account is deactivated within 48 hours of trial end.
Trial lead data belonging to the client is available for export upon request within 30 days of trial end.
5. Payments and Billing
5.1 — Setup Fees
Setup fees are charged one time at the commencement of a paid service agreement. Setup fees are non-refundable regardless of circumstances, including early cancellation. Setup fees cover the cost of sub-account configuration, system build, and onboarding work performed by LYONYX.
5.2 — Monthly Recurring Fees
Monthly service fees are billed on a recurring basis beginning on the date the paid service agreement is executed, or the date the trial converts to a paid plan, whichever applies. Monthly fees are due on the same calendar date each month. LYONYX accepts payment by the methods specified in the service agreement.
5.3 — Late Payment
If payment is not received within 7 calendar days of the due date, LYONYX may suspend active services until the account is current. Accounts more than 30 days past due may be terminated. Termination for non-payment does not relieve the client of amounts owed.
5.4 — Price Changes
LYONYX reserves the right to modify pricing with 30 days written notice to existing clients. Continued use of services after the effective date of a price change constitutes acceptance of the new pricing.
6. Cancellation Policy
Monthly services may be cancelled with 30 days written notice sent to LYONYX's business email address. Client will retain access to services through the end of the current paid billing period. No partial-month refunds are issued. Setup fees and one-time service fees are non-refundable.
Upon cancellation, LYONYX will make reasonable efforts to transfer the client's domain and export available website content. Due to the nature of GoHighLevel's platform architecture, workflow and automation configurations may not be fully portable outside of the GHL platform. LYONYX will provide guidance on migration but is not responsible for recreating systems on third-party platforms.
7. Ownership and Intellectual Property
Custom domain names purchased on the client's behalf remain the client's property. All content provided by the client — including business name, logo, photos, and written copy — remains the property of the client at all times.
Website designs, Smart Site configurations, AI training data, automation workflows, follow-up sequences, and system architectures developed by LYONYX are and remain the intellectual property of LYONYX LLC. Client receives a limited, non-exclusive license to use these systems during the active term of their service agreement. This license terminates upon cancellation or termination of services.
Client may not reproduce, resell, sublicense, or distribute any LYONYX proprietary systems, templates, workflows, or configurations without prior written consent from LYONYX LLC.
8. Client Responsibilities
Client agrees to:
Provide accurate and complete business information during onboarding and throughout the service relationship.
Respond to LYONYX requests for content, approvals, and decisions within 5 business days. Delays caused by client inaction do not entitle client to service credits or extended timelines at no cost.
Maintain ownership and access credentials for all third-party accounts managed by LYONYX on their behalf, including Google Business Profile and domain registrar accounts.
Ensure all contacts in any database provided to LYONYX for SMS or email campaigns have provided lawful consent to receive those communications.
Comply with all applicable laws governing the client's business including licensing, insurance, and trade requirements.
Not use LYONYX services for any unlawful, deceptive, harassing, or prohibited purpose.
9. Edits and Revisions
Each paid tier includes a defined number of website edits per month as specified in the client's service agreement. An edit is defined as a reasonable modification to existing content including text updates, image swaps, and minor layout adjustments. Edits do not include new page builds, structural redesigns, new workflow creation, or new automation sequences, which are billed as separate services. Unused edits do not accumulate or roll over.
10. Third-Party Platforms
LYONYX services are built on and operate through third-party platforms including but not limited to GoHighLevel (GHL), Google, and SMS carrier networks. LYONYX is not responsible for outages, feature changes, policy changes, or service disruptions caused by these third-party platforms. LYONYX will make reasonable efforts to notify clients of disruptions that materially affect their services.
GoHighLevel maintains its own terms of service and privacy policy. By engaging LYONYX services, client acknowledges that their business data will be processed through GoHighLevel's infrastructure.
11. Limitation of Liability
LYONYX provides digital marketing and automation services and makes no guarantee of specific business outcomes including lead volume, call volume, revenue, search engine rankings, or SMS delivery rates. Results depend on factors outside LYONYX's control including market conditions, carrier filtering, platform algorithm changes, and client response time to leads.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LYONYX'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL MONTHLY FEES PAID TO LYONYX IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
LYONYX IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM USE OF OUR SERVICES, INCLUDING BUT NOT LIMITED TO LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR REPUTATIONAL HARM.
12. Indemnification
Client agrees to indemnify, defend, and hold harmless LYONYX LLC and its owners, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising out of or related to: (a) client's use of LYONYX services; (b) client's violation of these Terms; (c) any SMS or email communications sent through LYONYX systems on client's behalf that violate applicable law; or (d) client's violation of any third party's rights.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Indiana without regard to conflict of law principles. Any dispute arising under or related to these Terms shall first be submitted to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be resolved in the state or federal courts located in Clay County, Indiana, and both parties consent to personal jurisdiction in that venue.
14. Modifications to Terms
LYONYX reserves the right to update these Terms at any time. Updated Terms will be posted to lyonyx.com with a revised effective date. For material changes, LYONYX will provide at least 14 days notice to active clients via email. Continued use of services after the effective date of any change constitutes acceptance of the updated Terms.
